Terms of Use

1. Introduction & Acceptance

These Terms of Use (“Terms”) govern your access to and use of the website located at www.aiwise.sg (the “Website”) and any services provided by AI WISE PTE. LTD. (“AI WISE,” “we,” “us,” or “our”), a company incorporated in Singapore. By accessing the Website, submitting an enquiry, or engaging AI WISE for any service, you (“Client” or “you”) confirm that you have read, understood, and agree to be bound by these Terms. If you do not agree, you must cease using the Website and must not engage our services.

These Terms apply to all visitors, clients, and any other persons who access or use the Website or engage AI WISE's services in any capacity.

3. Services

AI WISE provides the following services to clients:

3.1 AI Image & Video Production

We produce AI-generated images and videos for clients across a wide range of content types and formats, using generative AI models and tools. Where required, we also work with influencers to produce content, giving clients greater flexibility and choice in their content production approach.

3.2 AI Content Creation & Social Media Management

We generate on-brand written, visual, and video content for clients and manage social media accounts across platforms including but not limited to Instagram, Facebook, TikTok, YouTube, X (formerly Twitter), Threads, LinkedIn, and XiaoHongShu (Little Red Book). Content may be produced using AI tools, influencers, or a combination of both. This includes content calendars, community management, and performance reporting.

3.3 AI Ad Creatives & Campaign Management

We design and produce advertising creatives using AI-generated content, influencer-produced content, or a combination of both, and manage end-to-end advertising campaigns across platforms including but not limited to Google, Meta, and TikTok.

3.4 Engagement Models

Services are delivered under the following engagement models:

  • Project-Based: One-off engagements for specific deliverables such as a product launch video, a campaign creative set, or a social media audit.
  • Monthly Retainer: Ongoing engagement covering content production, social media account management, and advertising campaign management.

The specific scope, deliverables, timelines, and fees for each engagement shall be set out in a separate written agreement, proposal, or service order between AI WISE and the Client.

4. Engagement & Payment Terms

All engagements are subject to a separate written agreement, proposal, or service order that sets out the specific scope, fees, and timelines. The following general terms apply:

  • Payment terms, schedules, and methods will be specified in the relevant service agreement.
  • AI WISE reserves the right to pause or suspend work if payment is not received in accordance with agreed terms.
  • Fees paid for completed work or delivered deliverables are non-refundable unless otherwise agreed in writing.
  • Either party may terminate a monthly retainer engagement by providing written notice in accordance with the terms specified in the service agreement.
  • Project-based engagements may be cancelled subject to the cancellation terms set out in the relevant service agreement or proposal.

5. Intellectual Property

5.1 Client Ownership Upon Payment

Subject to full payment of all applicable fees, AI WISE assigns to the Client the rights to the final deliverables produced specifically for the Client under the relevant engagement. This assignment is limited to the final approved output and does not extend to underlying tools, models, frameworks, workflows, or proprietary processes used by AI WISE in production.

5.2 AI WISE's Rights

AI WISE retains ownership of all intellectual property in its tools, platforms, workflows, methodologies, and proprietary systems. AI WISE also retains the right to use completed work in its portfolio, case studies, and marketing materials unless the Client expressly requests otherwise in writing prior to project commencement.

5.3 Client Responsibilities

The Client warrants that any materials, assets, logos, copy, or other content provided to AI WISE for use in the production of deliverables do not infringe any third-party intellectual property rights. The Client shall indemnify AI WISE against any claims arising from the Client's supplied materials.

6. AI-Generated Content & Third-Party AI Tools

6.1 Use of Third-Party AI Models and Tools

AI WISE utilises a range of third-party AI models, platforms, and tools in the production of its services, including but not limited to large language models, image generation models, video synthesis platforms, avatar and dubbing tools, and other AI-powered services (collectively, “Third-Party AI Tools”). These tools are provided by independent third-party vendors and are subject to their own terms of service, policies, and limitations.

6.2 Accuracy, Errors, and Client Review Responsibility

AI-generated content, including text, images, and video, may contain hallucinations, factual inaccuracies, errors, or unintended outputs that are inherent characteristics of the underlying AI models. AI WISE does not warrant the factual accuracy, completeness, or suitability of any AI-generated content for any particular purpose. The Client is solely responsible for reviewing, verifying, and approving all deliverables before publication, distribution, or any other use. AI WISE shall not be liable for any loss or damage arising from the Client's reliance on or publication of content that has not been reviewed and approved by the Client.

6.3 Third-Party Model Changes and Availability

Third-Party AI Tool providers may update, modify, restrict, deprecate, or discontinue their models or services at any time without notice. Such changes may affect the nature, quality, or availability of AI WISE's deliverables. AI WISE shall not be liable for any impact on deliverables arising from changes made by Third-Party AI Tool providers. AI WISE reserves the right to substitute one AI tool or model for another at its discretion to maintain service continuity.

6.4 Intellectual Property and Copyright in AI-Generated Content

The copyright status of AI-generated content remains an evolving area of law across jurisdictions. AI WISE does not warrant that any AI-generated content produced using Third-Party AI Tools is free from third-party intellectual property claims. The Client acknowledges and accepts the inherent uncertainty around copyright ownership of AI-generated content and agrees that AI WISE shall not be liable for any third-party intellectual property claims arising from or related to the AI-generated content delivered.

6.5 Platform Policy Risk

AI-generated content may be flagged, restricted, or rejected by advertising or social media platforms, including Google, Meta, and TikTok, as a result of their individual content policies, which may change without notice. AI WISE shall not be liable for any platform decisions to restrict, remove, or reject content produced on behalf of the Client.

7. Confidentiality

Both parties agree to keep confidential any non-public information disclosed by the other party in connection with an engagement (“Confidential Information”), and not to disclose such information to any third party without the prior written consent of the disclosing party, except as required by law. Confidential Information does not include information that: (a) is or becomes publicly available through no fault of the receiving party; (b) was already known to the receiving party at the time of disclosure; or (c) is independently developed by the receiving party without reference to the Confidential Information.

8. Limitation of Liability

To the maximum extent permitted by applicable law:

  • AI WISE's total liability to the Client for any claim arising out of or in connection with an engagement shall not exceed the total fees paid by the Client to AI WISE for the specific engagement giving rise to the claim.
  • AI WISE shall not be liable for any indirect, consequential, incidental, special, or punitive damages, including loss of profits, loss of revenue, or loss of data, even if AI WISE has been advised of the possibility of such damages.
  • AI WISE makes no guarantees regarding the performance outcomes of advertising campaigns, including but not limited to return on ad spend, click-through rates, impressions, or conversion rates, as these are subject to platform algorithms, market conditions, and other factors outside AI WISE's control.
  • AI WISE shall not be liable for any losses arising from changes to platform policies, algorithm updates, account suspensions, or any other decisions made by any third-party platforms on which AI WISE manages or operates services on behalf of the Client.

9. Third-Party Platforms

AI WISE manages advertising campaigns and social media accounts on third-party platforms including but not limited to Google, Meta, TikTok, Instagram, Facebook, YouTube, X (formerly Twitter), Threads, LinkedIn, and XiaoHongShu (“Platforms”). The Client acknowledges that:

  • These Platforms are operated by independent third parties and are governed by their own terms of service, advertising policies, and community standards.
  • AI WISE has no control over Platform decisions, including account suspensions, content removals, policy changes, or algorithm updates.
  • AI WISE shall not be liable for any disruption to services arising from Platform actions or policy changes.
  • The Client is responsible for ensuring that its business, products, and services comply with applicable Platform policies.

10. Data & Privacy

AI WISE collects and processes personal data in accordance with applicable data protection laws, including the Personal Data Protection Act 2012 (Singapore) (“PDPA”). By engaging AI WISE or using the Website, you consent to the collection, use, and processing of your personal data as described in our Privacy Policy, which is available on our Website. AI WISE will not sell, rent, or otherwise transfer your personal data to third parties except as necessary for the provision of services, as required by law, or as described in our Privacy Policy.

11. Governing Law & Jurisdiction

These Terms and any dispute or claim arising out of or in connection with them shall be governed by and construed in accordance with the laws of Singapore. The parties irrevocably submit to the exclusive jurisdiction of the courts of Singapore to settle any dispute or claim arising out of or in connection with these Terms or their subject matter.

12. Amendments

AI WISE reserves the right to update or amend these Terms at any time. Any changes will be posted on the Website with a revised effective date. Continued use of the Website or engagement of AI WISE's services after the posting of updated Terms constitutes acceptance of those changes. For existing clients under active service agreements, AI WISE will endeavour to provide reasonable notice of material changes to these Terms.

13. Severability

If any provision of these Terms is found to be invalid, unlawful, or unenforceable by a court of competent jurisdiction, such provision shall be severed from these Terms and the remaining provisions shall continue in full force and effect.

14. Entire Agreement

These Terms, together with any applicable service agreement, proposal, or service order, constitute the entire agreement between AI WISE and the Client with respect to the subject matter hereof, and supersede all prior or contemporaneous representations, understandings, or agreements.
